Research note
Research note: Proofpoint agrees to buy Varonis for $6.3 billion in cash to protect company data from AI agents
How we checked the Proofpoint–Varonis deal terms against the official announcement filed with the SEC.
What we set out to check
The price, premium, conditions and timing of the deal, and why the companies say they are combining.
What we found
- The filed announcement gives $49.75 a share, about $6.3 billion, all cash.
- It gives two premiums: 52% against the June price and 17% against the September price.
- CyberScoop matches the value and closing timeline.
Numbers that differ
An earlier Bloomberg-based summary valued Varonis at $4.7 billion during talks. That was its market value, not the deal price.
Labels we chose and why
- Confirmed for all deal terms, from the official announcement.
What we could not verify
- Integration plans.
- Whether any other bidders were involved.
What we searched
- Proofpoint Varonis acquisition
- Varonis 8-K Proofpoint $49.75
- Proofpoint Varonis AI agents
